1. About this EULA
This End User Licence Agreement applies to each individual who accesses or uses Knowledge Quest.
Knowledge Quest is provided by Customer Science Pty Ltd, an Australian company. In this EULA, "Customer Science", "we", "us" and "our" mean Customer Science Pty Ltd.
"You" and "your" mean the individual accessing or using Knowledge Quest. If you access Knowledge Quest on behalf of your employer or another organisation, that organisation is referred to as the "Customer".
2. Relationship with the Customer agreement
Knowledge Quest is made available to the Customer under an order form, proposal, statement of work, subscription agreement or other written agreement with Customer Science.
Your access to Knowledge Quest is subject to:
- this EULA;
- the Knowledge Quest Terms of Service;
- the applicable order form, proposal, statement of work or written agreement between the Customer and Customer Science;
- any reasonable policies, instructions or documentation provided by Customer Science.
If there is any inconsistency between this EULA and a signed agreement between Customer Science and the Customer, the signed agreement prevails to the extent of the inconsistency.
3. Acceptance
By accessing or using Knowledge Quest, you agree to this EULA. If you do not agree to this EULA, or if you are not authorised by the Customer to use Knowledge Quest, you must not access or use Knowledge Quest.
4. Authorised use
You may access and use Knowledge Quest only as an authorised user of the Customer, for the Customer's internal business purposes, during the Customer's subscription term, and in accordance with this EULA, the Terms of Service and the applicable Customer agreement.
You must stop using Knowledge Quest if your authority from the Customer ends or if Customer Science suspends or terminates your access.
5. Licence
Subject to this EULA, Customer Science grants you a limited, non-exclusive, non-transferable, non-sublicensable and revocable licence to access and use Knowledge Quest for the Customer's internal business purposes during the Customer's subscription term. No other rights are granted to you.
6. Account security
You must:
- keep your login credentials secure and confidential;
- not share your account with any other person;
- use accurate account information;
- only access the Customer's authorised environment, workspace, tenant or data;
- promptly notify the Customer or Customer Science if you become aware of unauthorised access, credential compromise or misuse;
- comply with any authentication, security or access-control requirements notified by the Customer or Customer Science.
You are responsible for activity conducted using your account unless caused by Customer Science's breach of this EULA or the applicable Customer agreement.
7. Customer Data
The Customer retains ownership of the data, files, records, prompts, transcripts, tickets, articles, knowledge-base content, configuration and other materials submitted to or connected with Knowledge Quest by or on behalf of the Customer.
You must not submit, upload, connect or process any data through Knowledge Quest unless you are authorised by the Customer to do so.
You represent that, to the best of your knowledge, you have the authority required to submit or access the relevant data, your use of Knowledge Quest will not breach any law, confidentiality obligation or third-party right, and you will comply with the Customer's internal policies relating to privacy, security, data handling and acceptable use.
8. AI-assisted outputs
Knowledge Quest uses automated and AI-assisted functionality to generate findings, summaries, suggestions, recommendations, draft content and other outputs.
You acknowledge that outputs may be incomplete, inaccurate, outdated, misleading or inappropriate for the Customer's circumstances. You must review and validate outputs before using or relying on them.
You must not rely on Knowledge Quest outputs as the sole basis for legal, HR, financial, safety, compliance, disciplinary, customer-impacting or other high-impact decisions.
9. Microsoft and third-party integrations
Knowledge Quest may connect to Microsoft services and other third-party systems authorised by the Customer. You must not connect, authorise or use an integration unless you are permitted to do so by the Customer.
Third-party systems are governed by their own terms, permissions, settings and availability. Customer Science is not responsible for third-party outages, API changes, permission changes, rate limits, data issues or other matters outside Customer Science's control.
10. Restrictions
You must not:
- use Knowledge Quest for any unlawful, harmful, fraudulent, misleading or unauthorised purpose;
- access data, accounts, tenants, workspaces or environments that you are not authorised to access;
- bypass or attempt to bypass authentication, authorisation, usage limits, rate limits, security controls or integration permissions;
- upload malicious code or interfere with the security, integrity, performance or availability of Knowledge Quest;
- probe, scan, penetration test or vulnerability test Knowledge Quest or related systems without Customer Science's prior written approval;
- reverse engineer, decompile, disassemble, modify, copy or create derivative works from Knowledge Quest;
- attempt to discover source code, object code, prompts, system instructions, model configuration, algorithms, architecture, workflows or non-public functionality;
- use bots, crawlers, scrapers or other automated methods to access Knowledge Quest except as expressly approved by Customer Science;
- use Knowledge Quest to develop, train, benchmark or improve a competing product or service;
- remove, obscure or alter proprietary notices, labels or attributions;
- submit data that you or the Customer are not authorised to process or share;
- use Knowledge Quest in a way that infringes intellectual property rights, confidentiality obligations, privacy rights or other legal rights;
- use outputs to mislead, defame, harass, discriminate against or unlawfully harm any person;
- encourage or assist any other person to do any of the above.
11. Intellectual property
Customer Science and its licensors own Knowledge Quest, including the software, user interface, workflows, models, prompts, system instructions, documentation, designs, configurations, templates, analytics, know-how and related intellectual property.
Except for the limited licence granted under this EULA, no rights in Knowledge Quest are transferred to you. The Customer retains ownership of Customer Data, subject to the rights granted to Customer Science under the applicable Customer agreement and the Terms of Service.
12. Feedback
If you provide suggestions, ideas, enhancement requests, recommendations or other feedback about Knowledge Quest, Customer Science may use that feedback without restriction or obligation to you, provided Customer Science does not disclose the Customer's confidential information.
13. Confidentiality
You must keep confidential any non-public information about Knowledge Quest, Customer Science, the Customer, other users, system functionality, security controls, pricing, documentation, workflows, prompts, outputs or data that you access through Knowledge Quest.
You may use that information only for the Customer's authorised internal business purposes. This obligation continues after your access to Knowledge Quest ends.
14. Suspension and termination
Customer Science may suspend or terminate your access to Knowledge Quest if the Customer's subscription expires or is terminated, the Customer or Customer Science withdraws your authority to access Knowledge Quest, you breach this EULA, your access creates a security, privacy, legal, operational or reputational risk, your account or credentials may have been compromised, suspension is required by law or a third-party provider, or the Customer fails to pay applicable fees.
On termination, you must immediately stop accessing and using Knowledge Quest.
15. Availability and changes
Knowledge Quest may be updated, changed, suspended or unavailable from time to time, including for maintenance, security, upgrades, integrations, legal compliance or operational reasons. Customer Science does not guarantee that Knowledge Quest will be uninterrupted, error-free or available at all times.
16. Disclaimer
To the maximum extent permitted by law, Knowledge Quest is provided on an "as is" and "as available" basis.
Customer Science excludes all warranties, representations, guarantees, conditions and terms that are not expressly stated in this EULA, the Terms of Service or the applicable Customer agreement, except to the extent they cannot be excluded by law.
Nothing in this EULA excludes, restricts or modifies any rights or remedies that cannot lawfully be excluded, restricted or modified.
17. Liability
To the maximum extent permitted by law, Customer Science is not liable to you personally for any loss arising out of or in connection with your access to or use of Knowledge Quest.
Any liability Customer Science may have in connection with Knowledge Quest is governed by the applicable agreement between Customer Science and the Customer and the Terms of Service. You acknowledge that the Customer, not Customer Science, is responsible for decisions made by the Customer or its personnel based on use of Knowledge Quest or its outputs.
18. Privacy
Customer Science handles personal information in accordance with the Knowledge Quest Privacy Policy and any applicable agreement with the Customer. You must comply with the Customer's privacy, security and data-handling policies when using Knowledge Quest.
19. Changes to this EULA
Customer Science may update this EULA from time to time. If we make material changes, we will take reasonable steps to notify the Customer or users before the changes take effect, unless the changes are required sooner for legal, security or operational reasons.
Your continued use of Knowledge Quest after the updated EULA takes effect means you accept the updated EULA.
20. Governing law
This EULA is governed by the laws of New South Wales, Australia. The parties submit to the non-exclusive jurisdiction of the courts of New South Wales and the Commonwealth of Australia.
